Terms of Service

1.1 Contracting party. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Synapse Tech Systems LLC, a Michigan limited liability company that has elected to be taxed as an S corporation for U.S. federal income tax purposes, with its principal place of business at 2222 W. Grand River Ave, Ste A, Okemos, MI 48864 ("Company," "we," "us," or "our"). The Service is operated under the brand name "VietPair."

1.2 Binding agreement. By creating an account, accessing, or using the VietPair platform, website, mobile applications, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Community Guidelines, Refund Policy, and Dating Safety Tips, each of which is incorporated herein by reference.

1.3 Acceptance. You must affirmatively accept these Terms (for example, by checking a box or clicking "I Agree") before creating an account. If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service after any update to these Terms constitutes your acceptance of the revised Terms.

1.4 Eligibility to accept. You represent that you have the legal capacity to enter into a binding contract. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity.

2.1 Age requirement. You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is higher, to use the Service. Any account found to be used by a person under 18 will be terminated immediately, and we may report such activity to appropriate authorities.

2.2 Account registration. You agree to provide accurate, current, and complete information during registration and to keep it updated. You may not create an account using a false identity, impersonate another person, or create multiple accounts. Each natural person is limited to one account. Accounts are non-transferable.

2.3 Current business model. Under our current model, Vietnamese women may register and access core features free of charge. Paid features and subscriptions are primarily directed at Western male users. We reserve the right to modify the free and paid structure at any time.

2.4 Account security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at solutions@vietpair.com of any unauthorized access.

2.5 Right to refuse or terminate. We reserve the right, in our sole discretion, to refuse registration, suspend, or permanently terminate any account at any time, with or without notice, for any reason, including violation of these Terms.

2.6 User responsibility for local laws. You are solely responsible for compliance with all laws applicable to you, including the laws of Vietnam and any other jurisdiction in which you reside or use the Service.

2.7 Geographic availability. The Service may not be available in all countries or regions. We reserve the right to restrict access by geography for legal, regulatory, risk-management, or operational reasons.

3.1 What VietPair is. VietPair is a dating and connection platform designed primarily to facilitate discovery, messaging, and meetings between Western men and Vietnamese women for dating, relationships, and social companionship.

3.2 What VietPair is not.

VietPair does not promote, arrange, broker, schedule, or facilitate commercial companionship or commercial sexual services.

VietPair is not an escort agency, prostitution service, or sex-trafficking platform. We do not advertise, organize, arrange, broker, schedule, or take any fee or commission from commercial sex acts or commercial companionship arrangements between users.

3.3 No brokerage or facilitation. The Company does not act as an agent, broker, intermediary, or facilitator of any commercial sexual or companionship arrangement. Clear offers of or requests for paid sexual services are prohibited on the platform. If users choose to discuss or pursue any private arrangement off the platform, that is solely between those users and is undertaken entirely at their own risk and responsibility. VietPair is not a party to any such arrangement.

3.4–3.6 Features, no guarantees, beta. The Service includes core free features and premium paid features. We do not guarantee matches, responses, meetings, or any particular outcome. We do not guarantee the accuracy or reliability of user profiles. Beta features are provided "as is" and may be modified or discontinued without notice.

4.1 Hard bans — zero tolerance. The following will result in immediate account termination and, where appropriate, reporting to law enforcement:

• Use of the Service by anyone under 18, or any content that involves or depicts minors;
• Coercion, threats, blackmail, extortion, or any non-consensual activity;
• Sex trafficking or any activity that facilitates sex trafficking;
• Clear offers of, requests for, or arrangements involving commercial sex or paid sexual services (prostitution);
• Pure scam scripts, advance-fee fraud, romance scams, cryptocurrency schemes, or other fraudulent schemes;
• Profiles or accounts controlled by third parties, agencies, managers, or “pimps”;
• Posting, sharing, or soliciting child sexual abuse material.

4.2 Platform stance on commercial activity. VietPair does not promote or facilitate commercial companionship or commercial sexual services. Clear advertising or solicitation of paid sexual services is prohibited. Any private arrangement that users may choose to pursue off the platform is solely between those users, is not facilitated by VietPair, and is undertaken entirely at their own risk.

4.3–4.6 General prohibited conduct, moderation, reporting, law enforcement. You agree not to harass, spam, impersonate, scrape, or post illegal content. We have sole discretion to remove content, limit visibility, suspend, or ban accounts. Report violations using the Report and Block controls available on every profile and conversation, or by emailing solutions@vietpair.com. We may disclose data when reasonably necessary to comply with law, enforce these Terms, or protect safety.

You retain ownership of content you post, subject to a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual license to the Company to use it in connection with operating and improving the Service. You represent you have all necessary rights to post such content.

The Service, including the "VietPair" name and trademarks, is owned by the Company. Feedback you provide becomes the exclusive property of the Company.

Certain features require payment — see Premium for current plans. This section incorporates VietPair's Refund, Cancellation & Subscription Policy, which forms part of these Terms and governs all paid subscriptions, one-time purchases, virtual items, free trials, cancellations, and refunds on VietPair. Under the current business model, paid features are primarily directed at Western male users; free users (currently Vietnamese women) are not charged under this section.

Subscriptions and auto-renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You retain access until the end of the already-paid period after cancellation. Cancel through account settings, Apple App Store / Google Play subscription management, or by contacting solutions@vietpair.com.

Virtual items. Virtual items (boosts, credits, tokens, premium filters, etc.) have no real-world monetary value and cannot be redeemed for cash. Purchase grants only a limited, non-transferable, revocable license to use them within the Service. They are non-refundable except where required by law or expressly stated here, and may expire.

Refund eligibility. Except as required by law or expressly stated in this section, all fees are non-refundable. No refunds are issued upon termination for violation of the Terms or Community Guidelines. App Store purchases are also subject to Apple's and Google's refund policies.

Chargebacks. Unjustified chargebacks after use of paid features or virtual items may result in account suspension/termination and forfeiture of virtual items. We may contest chargebacks with supporting evidence.

Free trials. Free trials convert to paid subscriptions unless cancelled before conversion. Abuse of trials (multiple accounts, payment-method cycling) is prohibited and may result in termination and forfeiture.

Requests. Submit refund and cancellation requests to solutions@vietpair.com. We aim to respond within five (5) business days. We will never ask for your full payment card number, CVV, or password via email or chat. You are responsible for applicable taxes.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT MATCHES, THE ACCURACY OR IDENTITY OF ANY USER, OR THAT VERIFICATION CONSTITUTES A BACKGROUND CHECK OR SAFETY GUARANTEE. YOU MEET OTHER USERS ENTIRELY AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR USER-TO-USER INTERACTIONS OR OFFLINE CONDUCT. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID US IN THE PRIOR 12 MONTHS OR USD $100.

You agree to indemnify and hold harmless the Company from claims arising out of your User Content, use of the Service, violation of these Terms or any law, or your interactions with other users.

We may suspend or terminate your account at any time, with or without notice, for any reason. You may delete your account at any time from My Profile → Account & legal, which permanently deactivates your profile; if you only want to step away temporarily, the same page has a "Show my profile in Browse" toggle that hides your profile from discovery without deleting your account. No refunds will be issued upon termination for violation of these Terms. Surviving sections continue in effect.

Our collection, use, and disclosure of personal information is governed by our Privacy Policy.

The Service may integrate with third-party services (including Apple and Google). We are not responsible for third-party services.

These Terms shall be governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Except as provided in the arbitration provision below, exclusive venue lies in the state or federal courts located in Michigan.

ANY DISPUTE SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION. YOU AND THE COMPANY WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.

You may opt out of arbitration by sending written notice to solutions@vietpair.com within 30 days of first accepting these Terms.

Nothing limits rights under applicable consumer-protection laws that cannot be waived by contract.

We may modify these Terms or the Service at any time. Material changes will be noticed. You consent to service-related communications. You represent you are not in a sanctioned country or on a restricted-party list. Claims must be filed within one year. App Store terms (Apple/Google) apply as additional terms where you downloaded the app from those stores.

These Terms, together with the Privacy Policy, Community Guidelines, Refund Policy, and Dating Safety Tips, constitute the entire agreement. If any provision is invalid, the remainder continues. Failure to enforce is not a waiver. You may not assign without consent; we may assign freely. English version controls.
